These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "user", "client") and Peepuu ("Peepuu", "we", "our", "us") governing your use of the Peepuu platform and services.

By accessing or using any part of the Peepuu platform (web or mobile), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Who We Are

Peepuu is a Platform-as-a-Service (PaaS) operated by Digitally Nigeria Limited, with a registered office at Lekki, Lagos, Nigeria, and email contact at legal@peepuu.com. We connect African professionals to remote work opportunities, digital products, and coaching services.

2. Acceptance & Modifications

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on our platform. Continued use of the platform after such changes constitutes acceptance of the revised Terms.

3. Legal Framework & Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, including:

The Nigeria Data Protection Act 2023 (NDPA)
The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
The Federal Competition and Consumer Protection Act
The Electronic Transactions Act and applicable common law

Disputes arising under these Terms shall be resolved in accordance with Section 17 (Dispute Resolution).

4. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction and have full legal capacity to enter into these Terms. If you are registering on behalf of a business or organization, you warrant that you have the authority to do so.

5. Services and Access

Peepuu offers access to:

Remote job discovery tools
Digital learning products
Professional coaching and community-based services
Software features made available as a platform

We reserve the right to modify, suspend, or discontinue any part of the Services at our discretion.

6. Account Creation and User Obligations

You agree to:

Provide accurate, current, and complete information when registering
Keep your login credentials secure
Not share access with unauthorized users
Immediately notify us of any breach or unauthorized use

Peepuu is not liable for any loss or damage arising from your failure to comply with these obligations.

7. License and Intellectual Property

We grant you a limited, revocable, non-exclusive, non-transferable license to use the platform and services for personal or business use.

All intellectual property — including platform code, UX, content, trademarks, brand assets, models, and processes — remains the sole property of Peepuu or its licensors. You agree not to copy, reverse engineer, or commercially exploit any portion of the platform.

8. User Content and Feedback

If you upload content (e.g., profiles, posts, documents), you:

Retain ownership of your content
Grant Peepuu a non-exclusive, royalty-free, sublicensable license to use, display, and distribute it for service delivery

If you submit ideas, feedback, or suggestions, Peepuu may use them without obligation or compensation.

9. Payment, Billing & Refunds

Certain features may require payment. By using these features:

You agree to the posted pricing and authorize Peepuu or its payment processor to charge your card or payment method
Subscriptions may renew automatically unless cancelled
Refunds are granted only in cases of billing errors, service failure, or as required by law

No refund is granted for coaching services already delivered.

10. Acceptable Use Policy

You agree not to:

Violate any law or regulation
Upload unlawful, abusive, harmful, or infringing content
Introduce viruses or interfere with the platform's integrity
Reverse-engineer, hack, or scrape our services
Resell or sublicense the platform without written consent

We reserve the right to suspend or terminate accounts violating this policy.

11. Service Availability & SLAs

We strive to provide 99% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance. In cases of outages, Peepuu is not liable for damages or business loss.

12. Third-Party Integrations

If you connect with third-party tools or platforms (e.g., Zoom, Calendly, Stripe):

You grant permission to share your data as required for integration
Peepuu is not responsible for third-party service failures or breaches

13. Termination

We may suspend or terminate your account if:

You breach these Terms or applicable law
Your use threatens our system or users
You misuse the platform in any way

Upon termination, your license to use the platform ends immediately, but your obligations under Sections 7, 8, 10, 14, and 15 survive termination.

14. Disclaimers & Limitations of Liability

Platform provided "AS IS":

We do not guarantee that the platform will meet your expectations, be error-free, or achieve any specific outcome.

No liability for indirect damages:

To the fullest extent allowed by law, we disclaim liability for lost profits, data loss, or indirect damages.

Our total liability in any claim is limited to the fees paid by you in the past 90 days.

15. Indemnification

You agree to defend, indemnify, and hold harmless Peepuu and its affiliates from any claim, loss, liability, or expense arising from:

Your use or misuse of the platform
Your violation of any law or third-party rights
Any content you submit or share

16. International Users and Data Transfers

By using Peepuu, you consent to the transfer of your personal data to servers outside your jurisdiction (e.g., the US, EU). We use Standard Contractual Clauses and other safeguards to ensure lawful transfer and protection of data.

17. Dispute Resolution

If a dispute arises:

Initial Resolution: Parties shall attempt in good faith to resolve disputes through direct negotiation within 14 days
Mediation: If unresolved, parties agree to mediation facilitated by a neutral third party
Jurisdiction: If mediation fails, the dispute will be subject to the courts of Lagos, Nigeria

18. Entire Agreement and Interpretation

These Terms (together with our Privacy Policy and any signed agreements) constitute the entire agreement. If any provision is held unenforceable, the remainder shall continue in full force.

19. Force Majeure

Peepuu is not liable for failure to perform due to events outside our reasonable control, including but not limited to natural disasters, outages, government restrictions, or cyberattacks.
